WEBSITE TERMS OF USE

BOARDWALK CONSULTING LLC

Effective Date: September 1, 2026   |    Last Updated: September 16, 2026

1. Acceptance of These Terms

These Website Terms of Use (the “Terms”) are a binding agreement between you and BoardWalk Consulting LLC (“BoardWalk,” “we,” “us,” or “our”) governing your access to and use of our websites, online forms, portals, digital content, and other online features that link to these Terms (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. Where we ask you to affirmatively accept these Terms in connection with a form, portal, account, or transaction, your affirmative acceptance will govern that activity.

If you use the Site on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility

The Site is intended for adults and for business, professional, recruiting, and employment-related purposes. You may not use the Site if you are prohibited from doing so under applicable law. The Site is not directed to children under 13.

3. Scope; Privacy Policy

These Terms govern use of the Site. Separate written agreements may govern executive-search engagements, consulting services, recruiting assignments, client relationships, candidate engagements, confidentiality obligations, or other services. If a separate written agreement conflicts with these Terms, the separate agreement controls for the subject matter of that agreement.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference for purposes of describing our information practices, but nothing in these Terms limits any privacy right that cannot legally be waived.

4. Informational Nature of the Site; No Professional Relationship

Site content is provided for general informational and business purposes. Viewing the Site, contacting BoardWalk, submitting a resume, responding to a search opportunity, requesting information, or exchanging preliminary communications does not by itself create:

  • an employment relationship with BoardWalk or any client;
  • an agency, fiduciary, partnership, joint-venture, or representation relationship;
  • a client or consulting engagement;
  • a promise that BoardWalk will present a candidate to a client, obtain an interview, or secure employment; or
  • a promise that BoardWalk will accept an organization as a client or undertake a search assignment.

Any professional engagement with BoardWalk must be established through a separate written agreement or other express written confirmation from an authorized BoardWalk representative.

5. Candidates, Applicants, and Professional Profiles

You may provide resumes, curricula vitae, professional biographies, compensation information, employment history, references, contact information, and other career-related materials through the Site or through communications initiated from the Site.

By submitting information about yourself, you represent that the information is accurate in all material respects and that you have the right to provide it. You are responsible for keeping your information reasonably current. You should not submit information about another person unless you have authority or a lawful basis to do so.

BoardWalk may evaluate, organize, supplement, and use candidate information for legitimate recruiting, executive-search, talent-assessment, relationship-management, and related business purposes as described in our Privacy Policy. Submission of information does not guarantee consideration for any specific role, presentation to any client, an interview, an offer, or employment.

BoardWalk and its clients make independent decisions regarding search strategy, candidate consideration, interviews, hiring, compensation, and employment. Nothing on the Site should be interpreted as a guarantee regarding those decisions.

6. Clients and Prospective Clients

Information on the Site concerning BoardWalk capabilities, experience, methodologies, representative assignments, industries, or services is general in nature and does not constitute a proposal, guarantee, warranty, or binding service commitment. Scope, fees, deliverables, search terms, exclusivity, guarantees, replacement obligations, confidentiality, and other engagement terms are governed only by the applicable written client agreement.

7. Accounts, Portals, and Credentials

If the Site provides an account, portal, or credentialed area, you are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. You must promptly notify BoardWalk if you believe your credentials or account have been compromised. You may not share credentials with unauthorized persons or attempt to access another user’s account.

8. Acceptable Use

You may use the Site only for lawful purposes and in accordance with these Terms. You may not:

  • violate any applicable law, regulation, contractual restriction, intellectual-property right, privacy right, publicity right, or other legal right;
  • submit false, misleading, fraudulent, defamatory, harassing, discriminatory, unlawful, or malicious material;
  • impersonate another person or misrepresent your identity, affiliation, qualifications, authority, or intentions;
  • introduce malware, malicious code, ransomware, spyware, or other harmful technology;
  • probe, scan, test, bypass, defeat, or interfere with security, authentication, rate limits, access controls, or technical restrictions;
  • use the Site to send spam, unauthorized solicitations, or unlawful marketing communications;
  • collect, harvest, scrape, extract, copy, or aggregate personal information, candidate information, client information, contact information, or Site content except with BoardWalk’s prior written authorization;
  • use bots, crawlers, scrapers, browser automation, agents, or similar automated means to access or extract Site content except for ordinary search-engine indexing that BoardWalk has not technically blocked;
  • use Site content, candidate information, or other BoardWalk-provided information to train, fine-tune, evaluate, benchmark, populate, or improve an artificial-intelligence or machine-learning model without BoardWalk’s prior written consent;
  • reverse engineer, decompile, disassemble, or attempt to derive source code or nonpublic functionality from the Site except to the limited extent such restriction is prohibited by law; or
  • interfere with the Site’s operation or another person’s use of the Site.

9. Intellectual Property

The Site and its content, including text, graphics, logos, trademarks, service marks, page designs, databases, compilations, software, methodologies, and other materials, are owned by or licensed to BoardWalk and are protected by intellectual-property and other laws. Except as expressly permitted in these Terms, no right, title, or interest in the Site or its content is transferred to you.

BoardWalk grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful personal or internal business purposes. You may print or download reasonable portions of publicly available content for those purposes, provided that you do not remove proprietary notices or use the material in a misleading manner.

BOARDWALK, BoardWalk Consulting, and related names, logos, and marks are trademarks or service marks of BoardWalk or their respective owners. No license to use any mark is granted except with prior written permission.

10. Information and Materials You Submit

As between you and BoardWalk, you retain ownership of materials you submit to the extent you own them. You grant BoardWalk a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, disclose, and otherwise use submitted materials only as reasonably necessary to operate the Site, respond to you, provide recruiting or consulting-related services, maintain business records, protect legal rights, and conduct the activities described in our Privacy Policy or an applicable separate agreement.

This license does not give BoardWalk ownership of your resume, profile, or other submitted material. It ends when the material is no longer reasonably needed for the permitted purposes, subject to lawful retention, archival, backup, dispute, compliance, and recordkeeping requirements.

11. Confidential and Sensitive Information

Do not submit trade secrets, highly sensitive business information, privileged material, government identification numbers, financial-account credentials, or other information that is unnecessary for the purpose of your communication unless BoardWalk specifically requests it through an appropriate channel.

A general Site inquiry or unsolicited submission does not create a duty of confidentiality beyond duties imposed by law, our Privacy Policy, or a separate written agreement. If confidential treatment is important, obtain an appropriate written confidentiality agreement before disclosing sensitive business information.

12. Communications; Electronic Records

By contacting BoardWalk electronically, you consent to receive responsive communications electronically. Where permitted by law and consistent with your preferences, we may also send recruiting, relationship-management, informational, or marketing communications. You may opt out of marketing emails using the unsubscribe mechanism provided in those messages, but you may continue to receive transactional, relationship, legal, or service-related communications.

Electronic communications and records may satisfy legal requirements that communications be in writing, subject to applicable law.

13. Third-Party Websites, Services, and Platforms

The Site may link to or integrate with third-party websites, social media platforms, analytics providers, scheduling services, applicant or candidate systems, maps, video services, advertising technologies, or other third-party tools. BoardWalk does not control those third parties and is not responsible for their content, availability, security, or privacy practices. Your use of third-party services is subject to their own terms and policies.

A link or integration does not necessarily imply endorsement, sponsorship, affiliation, or approval.

14. Accuracy; No Reliance on Site Content

BoardWalk seeks to provide useful and current information, but Site content may contain errors, omissions, or outdated information. Search opportunities may be modified, suspended, filled, withdrawn, or otherwise become unavailable without notice. Client, industry, compensation, market, leadership, and recruiting information can change rapidly.

You should independently verify information that is material to a business, career, employment, legal, tax, financial, or other significant decision. Site content is not legal, tax, accounting, investment, medical, or other regulated professional advice.

15. Privacy, Cookies, Analytics, and Tracking Technologies

Our collection and use of personal information, including information obtained through cookies, analytics, customer-relationship systems, email technologies, advertising or tracking pixels, candidate databases, and similar technologies, are described in our Privacy Policy and any applicable cookie or privacy-choice interface.

Where applicable law gives you a right to opt out of certain sales, sharing, targeted advertising, profiling, or uses of sensitive personal information, BoardWalk will provide the applicable mechanism and will honor legally recognized opt-out preference signals where required.

16. Security

BoardWalk uses safeguards designed to protect the Site and personal information, but no website, transmission method, or storage system can be guaranteed to be completely secure. You are responsible for using reasonable security practices when accessing the Site and for protecting your own devices, accounts, and credentials.

17. Availability; Changes to the Site

BoardWalk may modify, suspend, withdraw, restrict, or discontinue all or part of the Site, including features, content, forms, portals, or access methods, at any time. We do not guarantee that the Site will always be available, uninterrupted, error-free, or free from harmful components.

18. Indemnification

To the extent permitted by law, if you use the Site for business purposes, you agree to defend, indemnify, and hold harmless BoardWalk and its members, managers, officers, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your violation of these Terms, or materials you submit in violation of another person’s rights.

This section does not require an individual consumer to indemnify BoardWalk to the extent such an obligation would be prohibited or unenforceable under applicable consumer-protection law.

19. Suspension and Termination

BoardWalk may restrict or terminate access to the Site when we reasonably believe a user has violated these Terms, created security or legal risk, misused Site content or data, or interfered with the Site. Provisions that by their nature should survive termination—including intellectual-property, disclaimer, liability, dispute, and miscellaneous provisions—will survive.

20. Governing Law and Disputes

Except to the extent applicable law requires otherwise, these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Site may be brought in a state or federal court of competent jurisdiction located in or serving Fulton County, Georgia, except that this venue provision does not deprive a consumer of any nonwaivable right to bring a claim in another forum provided by applicable law.

Nothing in these Terms requires arbitration, waives a right to a jury trial, waives a right to participate in a class or representative action, or waives any statutory right unless BoardWalk and the applicable party separately enter into an enforceable written agreement expressly addressing those matters.

21. California Consumer Rights and Nonwaiver

If you are a California consumer, nothing in these Terms waives or limits any right or remedy that cannot be waived under California law, including rights under the California Consumers Legal Remedies Act. Any disclaimer, limitation, indemnity, choice-of-law, or forum provision in these Terms applies only to the extent enforceable under applicable law.

If BoardWalk in the future offers an automatic-renewal or continuous-service consumer subscription in California, the applicable offer, checkout flow, confirmation, reminders, cancellation process, and material-change notices will be governed by the disclosures and affirmative-consent requirements of applicable California law. These Terms do not by themselves authorize recurring charges.

22. Changes to These Terms

BoardWalk may update these Terms at any time. We will post the revised Terms with an updated “Last Updated” date. If a change materially affects an existing contractual relationship or if applicable law requires additional notice or consent, we will provide that notice or obtain that consent as required. Changes do not retroactively eliminate rights or obligations that cannot legally be altered without consent.

23. Severability; No Waiver; Assignment

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. BoardWalk’s failure to enforce a provision is not a waiver of that provision or any other provision. You may not assign your rights or obligations under these Terms without BoardWalk’s prior written consent. BoardWalk may assign these Terms in connection with a merger, reorganization, sale of assets, change of control, or by operation of law, subject to applicable law.

24. Entire Agreement for Website Use

These Terms, together with the Privacy Policy and any additional terms expressly presented for a specific Site feature, constitute the agreement between you and BoardWalk concerning use of the Site. They do not replace a separate executive-search, consulting, employment, confidentiality, vendor, or other written agreement.
